These Terms & Conditions ("Terms") are entered into by and between MC Home Enterprises LLC, a California limited liability company, doing business as:

Any future brands, programs, services, software platforms, AI systems, memberships, or digital products operated by the Company

(collectively referred to as the "Company," "we," "our," or "us").

These Terms govern your access to and use of:

By accessing, purchasing, subscribing to, or using any Company service, you agree to be bound by these Terms.

If you do not agree, you must not use our services.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement.

By using our services, you represent and warrant that:

you are legally authorized to enter into these Terms
all information you provide is accurate
you will use the services for lawful business purposes only
you are authorized to upload or use any content, communications, or client information submitted into the platform

2. Modifications to Terms

We reserve the right to modify or update these Terms at any time.

Updates become effective immediately upon posting.

Your continued use of the services after changes are posted constitutes acceptance of the revised Terms.

3. Intellectual Property & License

All Company content, software, AI systems, advisor structures, workflows, prompts, templates, frameworks, methodologies, educational materials, designs, downloads, branding, visual systems, automations, and related materials are the exclusive intellectual property of MC Home Enterprises LLC.

Purchase or subscription grants you a limited, revocable, non-transferable license for:

personal use
internal business use

You may NOT:

resell or redistribute Company materials
share login credentials except where expressly permitted
copy or recreate Company systems
train public AI systems using Company proprietary content
repurpose Company methods into competing products or services
reverse engineer software functionality
claim Company methods or systems as your own

Violation may result in immediate termination, legal action, and damages.

4. Account Access & Team Use

Access is limited to the purchaser or authorized Account Holder.

Where expressly permitted under your subscription tier, access may be shared with approved internal team members only.

You are responsible for:

maintaining account security
safeguarding login credentials
all activity occurring under your account

We reserve the right to audit usage and restrict access where misuse is suspected.

5. Subscription Services, Digital Products & Payment Terms

Designer Advisory™ and related software services may be offered through:

monthly subscriptions
annual subscriptions
one-time purchases
payment plans

All payments are due according to the selected billing terms.

Subscriptions automatically renew unless canceled before the renewal date.

You authorize us to charge your payment method for recurring subscription fees until canceled.

Product-Specific Terms

The Designer Calculator is a subscription software application governed by these Terms, including the subscription, renewal, and cancellation terms applicable to that product. By subscribing to or using the Designer Calculator, you agree to these Terms as they apply to that product.

No Refund Policy

All subscriptions, digital products, templates, AI systems, software access, coaching services, downloads, memberships, and related services are non-refundable.

Because immediate access to proprietary intellectual property and software functionality is provided upon purchase, all sales are final.

Payment plans are offered as a convenience only and do not create a cancellable installment arrangement.

You agree:

full payment obligations remain regardless of usage
stopping payments does not terminate your agreement
chargebacks or payment disputes constitute breach of these Terms

We reserve the right to:

suspend access
revoke licenses
remove account access
send unpaid balances to collections
pursue legal recovery of fees and associated costs

6. Nature of the Platform

Designer Advisory™ is an AI-powered advisory and workflow platform designed specifically for professional interior designers.

The platform may assist users with:

business organization
communication drafting
marketing support
project organization
client experience workflows
operational guidance
content creation
project-based advisory support
visual inspiration and mood board generation

The platform is advisory and assistive only.

The platform does NOT:

replace professional judgment
provide legal or financial advice
autonomously operate your business
send communications without user approval
manage inboxes
auto-reply to messages
guarantee business results

All implementation decisions remain solely your responsibility.

7. AI Output Disclaimer

AI-generated content may contain:

inaccuracies
incomplete information
unintended wording
outdated information
inappropriate suggestions

You acknowledge and agree that:

all outputs must be reviewed prior to use
you are solely responsible for all final content and communications
the platform does not guarantee accuracy, legality, or suitability

You should consult qualified professionals where appropriate.

8. Email Connection Feature

Designer Advisory™ may allow users to optionally connect their own email accounts through:

Gmail OAuth
Outlook integrations
SMTP configuration

Email connection is optional and not required to use the platform.

When connected, the platform may:

draft emails
send user-approved emails through the connected account
store encrypted authentication credentials or tokens
maintain sent-email records and workflow history

The platform does NOT:

read inbox content
auto-send emails
auto-reply to incoming messages
manage inboxes or folders
monitor email activity outside authorized functionality

All outgoing communications require explicit user review and approval before sending.

9. User Responsibility for Communications

You are solely responsible for:

all emails and communications sent through your connected account
all recipients selected by you
compliance with all applicable anti-spam and privacy laws

You agree to comply with:

CAN-SPAM Act
CASL
GDPR
CCPA
applicable state, federal, and international communication laws

You acknowledge that:

you are the sender of record
Designer Advisory™ acts solely as a drafting and transmission tool at your direction

We are not responsible for:

spam complaints
blacklisting
account suspensions
recipient disputes
deliverability failures
legal claims arising from communications you send

10. Acceptable Use

You agree not to use the platform to:

send spam or unsolicited communications
harass, threaten, or impersonate others
distribute unlawful, defamatory, or misleading content
violate privacy rights
conduct phishing or deceptive activity
transmit malware or harmful code
infringe intellectual property rights
generate unlawful or abusive communications
create autonomous communication systems without review

We reserve the right to:

suspend accounts
disable integrations
restrict sending functionality
terminate services

for suspected abuse, spam activity, unlawful conduct, or policy violations.

11. Credential Storage & Security

To support connected services, we may store:

OAuth access tokens
OAuth refresh tokens
SMTP credentials
sender metadata
workflow settings

Credentials are encrypted in transit and at rest using commercially reasonable security measures.

However, no system can guarantee absolute security.

You are responsible for:

protecting your own accounts and devices
maintaining credential security
revoking integrations if you suspect unauthorized access

We are not liable for unauthorized access resulting from:

compromised credentials
insecure devices
user negligence
third-party breaches outside our control

12. Google API Services Disclosure

Designer Advisory™ use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including Limited Use requirements.

Google user data is used solely to:

support user-authorized email functionality
maintain connected account access
provide requested workflow functionality

We do NOT:

read inbox content
sell Google user data
use Google user data for advertising
use Google user data to train generalized AI models
share Google user data with unauthorized third parties

13. Third-Party Services & Integrations

The platform may integrate with third-party providers including:

Google
Gmail
Microsoft
Outlook
SMTP providers
scheduling tools
AI providers
social media platforms

We do not control third-party services and make no guarantees regarding:

uptime
availability
API access
policy changes
service continuity
compatibility

Your use of third-party services remains subject to their respective terms and policies.

14. Results Disclaimer

We make no guarantees regarding:

revenue or profitability
client acquisition
marketing performance
social media growth
SEO rankings
advertising results
AI performance
project outcomes
business growth

All business decisions and outcomes remain your responsibility.

15. Community Conduct

You agree to maintain respectful and professional behavior within all programs, memberships, communities, and communications.

Prohibited conduct includes:

harassment
discrimination
solicitation
spamming
scraping member data
sharing confidential discussions
promoting competing services within communities
abusive behavior

Violation may result in termination without refund.

16. Confidentiality

All Company systems, advisor structures, workflows, materials, discussions, prompts, strategies, and member content are confidential.

You agree not to:

disclose proprietary methods
distribute internal materials
share member information
publish confidential discussions

This obligation survives termination.

17. Suspension & Termination

We reserve the right to suspend or terminate access at any time for:

breach of these Terms
payment failure
spam or abuse complaints
misuse of intellectual property
unlawful conduct
reputational harm
suspected fraud or chargeback risk

No refunds shall be issued upon termination.

18. Indemnification

You agree to indemnify and hold harmless MC Home Enterprises LLC and its owners, affiliates, employees, contractors, licensors, and partners from any claims arising from:

misuse of the platform
communications sent through your account
violations of anti-spam laws
privacy violations
intellectual property violations
unlawful conduct
recipient complaints
AI-generated communications used by you

This obligation survives termination.

19. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

lost profits
lost business opportunities
deliverability failures
spam filtering
provider suspensions
AI inaccuracies
technology failures
service interruptions
data loss
reliance on generated content
third-party outages or API failures

Maximum liability shall not exceed the amount paid by you to the Company within the preceding ninety (90) days.

20. Arbitration & Class Action Waiver

Any dispute arising under these Terms shall be resolved through binding arbitration in Los Angeles County, California.

You waive:

jury trial rights
participation in class actions
multi-party claims

Each claim must be brought individually.

21. Governing Law

These Terms are governed by the laws of the State of California.

22. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental agreements or policies, constitute the entire agreement between you and the Company.

Designer Advisory — AI Disclaimer & Terms of Use for AI Features

1. Nature of the Service. Designer Advisory is a support tool for interior designers. It uses artificial intelligence — including large language models from third-party providers such as Anthropic (Claude) and OpenAI — to generate suggestions, drafts, content, recommendations, and other advisory output ("AI Output"). AI Output is informational only and does not constitute professional, legal, financial, tax, or business advice.

2. Human Approval Required. Designer Advisory never sends, schedules, posts, emails, or executes any AI Output on your behalf without your explicit approval. You are the final decision-maker for every action taken within or based on the platform.

3. Accuracy & Limitations. AI Output may be inaccurate, incomplete, outdated, biased, or inconsistent with your brand voice. Generative AI can produce confident-sounding statements that are factually wrong ("hallucinations"). You agree to independently review, verify, and edit all AI Output before relying on it or sharing it with clients, vendors, or the public.

4. Your Responsibility. You are solely responsible for: (a) the accuracy and appropriateness of any content you publish, send, or act upon; (b) compliance with applicable laws, professional licensing requirements, advertising rules, intellectual property rights, and platform terms (e.g. Instagram, email providers); and (c) any business, creative, or financial outcomes resulting from your use of AI Output.

5. No Warranty. AI Output is provided "as is" without warranty of any kind. Designer Advisory, The McClain Method, and their affiliates disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

6. Limitation of Liability. To the maximum extent permitted by law, Designer Advisory and The McClain Method shall not be liable for any indirect, incidental, consequential, special, or punitive damages — or for any lost profits, revenue, data, goodwill, or business opportunities — arising out of or related to your use of AI Output, even if advised of the possibility of such damages.

7. Third-Party AI Providers. AI Output is generated in part using third-party services. Your use of Designer Advisory is also subject to the usage policies of those providers. Designer Advisory does not control and is not responsible for the underlying behavior of third-party AI models.

8. Not a Substitute for Professional Judgment. AI Output is not a substitute for the judgment of a licensed interior designer, attorney, accountant, marketer, or other qualified professional. When in doubt, consult an appropriate professional before acting.

Billing & Statement Descriptor

Designer Advisory is a product of McClain Method. All payments — subscriptions, one-time purchases, and add-ons — are processed by McClain Method. Charges will appear on your bank or credit card statement as MCCLAIN METHOD (or a similar variation). If you don't recognize a charge, please look for this descriptor before disputing.
